Objective :
Lead and consolidate the legal function across all of LATAM, including but not limited to ensuring regulatory and legal compliance, overseeing risk management, and the integration of multiple entities resulting from recent acquisitions. Responsibilities include strengthening corporate governance, legally protecting the company, negotiating contracts, advising employment law issues, aligning the legal teams across different Business Units, and serving as the liaison with the Global Legal team.
Key responsbilities :
- Ensure compliance with labor, tax, commercial, environmental, and regulatory requirements across LATAM.
- Lead corporate governance and consolidation of legal entities, including proper integration of acquisitions.
- Oversee mergers & acquisitions processes : due diligence, negotiation, closing, and post-integration alignment.
- Provide strategic legal support to LATAM leadership and Business Units on contracts, regulatory, labor, corporate, and litigation matters.
- Manage relationships with external law firms, ensuring efficiency, quality, and alignment with corporate standards.
- Coordinate and align local legal teams under a unified compliance and governance framework.
- Promote a culture of compliance, business ethics, and legal risk awareness through training and guidance.
Requirements :
Education : Bachelor’s degree in Law. Specialization or Master’s degree in Corporate Law, Commercial Law, Compliance, or related fields (preferred).Previous experience (years) : 8 - 10 years of experienceTechnical knowledge :Corporate, commercial, labor, and regulatory law in LATAM.Legislation and practices related to mergers and acquisitions (M&A).Compliance regulations and corporate governance.Litigation management and dispute resolution.Proficiency in contract management tools and legal document repositories.Languages : English (advanced), Portuguese (preferred)Experience in :Mergers and acquisitions, including due diligence and post-acquisition legal integration processes.Experience in consolidating legal entities and corporate governance.Management of commercial, labor, and regulatory contracts across multiple LATAM countries.Coordination of multicultural legal teams and advising Business Units on the selection and management of external legal advisors.Design, implementation, and standardization of legal frameworks and processes, including corporate governance, compliance, and internal controls in multi-country organizations.
