The Regional Legal Counsel will provide comprehensive legal guidance to ensure compliance with regional laws and regulations, mitigate legal risks, and support business operations and strategic initiatives.
1. Corporate Governance : Company Secretarial Activities
Performs company secretarial activities (shareholder and Board meeting minutes, POAs, etc.) and keeps accurate records of the company's official documents under direct supervision.Mergers & Acquisitions : Due Diligence and Risk AssessmentsConducts due diligence and risk assessments for potential acquisitions, mergers, and joint ventures.Drafts, negotiates, and reviews agreements ensuring they align with Coficab's strategic objectives.Collaborates with internal and external stakeholders to ensure seamless execution of transactions.Labor & Employment Law : Employment-Related Legal IssuesProvides guidance on employment-related legal issues including hiring practices, workplace policies, data privacy, discrimination claims, and termination procedures.E nsures compliance with regional labor laws and workplace safety regulations.Supports HR teams and acts as local point of contact for the Corporate Labor Law Manager in developing employee contracts, benefits programs, and labor dispute resolutions.Real Estate & Construction : Legal Matters Related to Real Estate TransactionsOverses legal matters related to real estate transactions, lease agreements, and property acquisitions.Provides legal advice on construction contracts and related regulatory requirements.Sales, Supply Chain & Distribution : Sales, Supply Chain, and Distribution AgreementsDrafts and negotiates sales, supply chain, and distribution agreements to protect Coficab's interests.Provides risk assessment and mitigation strategies to ensure smooth operations and reduce litigation.Addresses disputes or breaches of contract efficiently and strategically.Procurement & Contract Management : Procurement Contracts and Contract ManagementReviews, negotiates, and oversees procurement contracts to ensure legal compliance and alignment with business objectives.Establishes robust contract management procedures to track obligations and mitigate risks.Collaborates with procurement teams to optimize contract terms and supplier relationships.Regulatory & Government Relations Compliance : Regulatory ComplianceMonitors and ensures compliance with federal, state, and local regulations affecting Coficab's operations in North America.Develops and implements compliance programs, training, and policies to mitigate legal risks.Provides legal support on relations with local and federal administration bodies and reputational risk management.Litigation & Claims Management : Litigation and Dispute ResolutionManages and oversees litigation and dispute resolution processes including negotiations and court proceedings.Works with external counsel when necessary to defend company interests.Maintains records and analyzes legal trends to prevent future liabilities.Insurance & Risk Management : Legal Risks and Insurance PoliciesEvaluates legal risks associated with Coficab's operations and develops mitigation strategies.Overses insurance policies and claims ensuring adequate coverage for business activities.Assists in drafting and reviewing policies to ensure risk management best practices.Strategic Legal Matters : Corporate Governance and Strategic Business InitiativesAdvises on corporate governance, antitrust matters, and compliance with competition laws.Provides support on intellectual property protection and trademark management.Assists in the development and implementation of strategic business initiatives.International Trade (IMMEX) & Tax Compliance : Tax Laws and Customs DutiesE nsures compliance with import / export regulations, trade laws, and international agreements.Supports finance and tax teams in navigating tax laws, customs duties, and regulatory requirements.Provides legal oversight for IMMEX and related trade operations.
