OVERALL RESPONSIBILITY & AUTHORITY :
The Legal Counsel will be the focal point for the revision and drafting of legal documents, as well as handling of claims and arranging for all corporate legal matters, either in-house or as the coordinator with external partners or law firms. He / she will work in close liaison with the CEO and the management team.
PRINCIPAL ACCOUNTABILITIES
- Ensure that all necessary corporate legal documentation is up-to-date;
- Revise and advice on all the contracts related to the start-up of the terminal;
- Develop and manage the company’s internal legal database;
- Advise the company’s management team on legal issues as they arise, whether in relation to commercial contracts the company has entered into, in relation to the terms of its concession agreement, in corporate legal matters or claims / litigation;
- Negotiate, draft and review international commercial contracts related to the company’s business operations;
- Handle inbound and outbound claims and litigation;
- Handle the corporate housekeeping of the company and its direct shareholder, and assure that the compulsory Board of Director and shareholder meetings take place in due form. Actively prepare and take minutes of board and shareholders’ meetings in cooperation with the members of the relevant corporate bodies. Ensure that the meeting agenda points reflect the company’s interests and drive for good governance. Act as contact person for follow-up on Board of Directors and shareholder meeting matters;
- Act as compliance officer for the company to ensure compliance with the company’s code of conduct and applicable law and regulations and create compliance awareness;
- Manage the company’s internal complaints mechanism and ensure follow-up of any reported or suspected ethics or conduct violation;
- Have frequent local and international contacts with business people, shareholders’ in-house counsel and attorneys.
CRITICAL QUALIFICATIONS / SKILLS / EXPERIENCE
Master's degree in Law.At least 8 years of relevant experience, as in-house legal counsel with an international company and / or as an attorney in an internationally oriented law firm and / or as an attorney on maritime matters. Experience in infrastructure contracts for complex international development projects is an added value.Strong command of corporate, employment, international, business and contract law and are experienced in negotiating and drafting agreements.Solid, stress-resistant professional, a real team player and convincing communicator. You have proven leadership capabilities and you understand the functioning of multidisciplinary and multi-cultural teams. Your interpersonal skills allow you to achieve results with professionals with a cultural background different to yours.Capable to match legal expertise with commercial business sense, to identify risks and to ensure that liabilities and warranties are limited.Ease in contract negotiation and in communication with senior management. You are good at dealing with customers, contractors and government officials and you have strong presentation and influencing skills.Strong feeling of responsibility and the highest ethical standards.Excellent command of Spanish and English, both verbal and written.
