Purpose :

This role is in charge of :

Leading all Commercial Legal matters in Americas Region, for all business units, by interacting directly with internal stakeholders (i.e. Legal & GRC team members, commercial teams, tax, finance, etc.) and with externals (i.e. external lawyers, suppliers, clients, etc.) to help deliver on the business objectives of the company. Identifying, monitoring and advising upon legal risks within the areas of responsibility and acting as Legal lead for Strategic Projects across Americas Region, ensuring effective development of those Projects. Engage, support and supervise his / her team member / s, if applicable. Also, Coordinate and oversee external legal advisors in jurisdictions where specialized expertise is required or where no in-house legal counsel is available, ensuring efficient legal support and alignment with business objectives.

RESPONSIBILITIES

  • Provide support on contract requirements by the Sourcing and Sales teams by reviewing, drafting and negotiating all type of commercial agreements in order to document properly the relationship, obligations and responsibilities between HBX and external parties
  • Provide relevant legal education to the commercial teams in a variety of legal topics through trainings or material sharing in order to alert them on these legal topics that may have an impact on their strategies, objectives and regular interaction with external partners. Training to include guidance to commercial teams on the negotiation and drafting of commercial documents, risk mitigation strategies and best practices in day to day operations.
  • Active Legal lead in Strategic Key Projects of the commercial teams to provide early guidance on legal implications, requirements, and risk assessments
  • Coordinate and manage external legal advisors in various jurisdictions where specialized legal expertise is required or where the company does not have in-house legal counsel. Ensure efficiency in legal service delivery, cost control, and alignment with business objectives, overseeing and assessing their performance and being the primary liaison between external counsel and internal stakeholders
  • Serve as a liaison between other legal areas (Litigation, Corporate, GRC) and commercial teams (Sourcing, Sales) to facilitate the negotiation of contractual clauses in commercial agreements.
  • Conduct commercial legal analyses of events that may have a significant impact on specific business operations, such as new regulations, key clients or suppliers undergoing insolvency proceedings, and other material legal developments affecting the company's commercial activities.
  • Conduct legal research and analysis on the legislation of countries within the region to support strategic commercial expansion projects, ensuring compliance with local regulations and identifying potential risks and opportunities.

  • Minimum 8 years practice either in a Law Firm OR as an in-house legal counsel with commercial law practice
